Use of Website

Engagement Terms

Professional services are governed by individual engagement agreements. These Terms apply to general Site use. Specific project terms, deliverables, timelines, and compensation are defined in separate Statements of Work (SOWs).

Client Responsibilities

When engaging our services, clients agree to:

• Provide timely access to necessary systems and data
• Maintain appropriate backups of all critical data
• Designate authorized representatives for decision-making
• Comply with all applicable Salesforce licensing terms
• Provide accurate information about their systems and requirements

Zero Data Loss Guarantee

We implement industry-leading safeguards to prevent data loss during migrations and integrations. However, this guarantee applies only when:

• Client maintains independent backups as required
• Client follows our recommended procedures
• Issues are reported promptly during testing phases
• Client provides accurate and complete source data

Data loss caused by client actions, third-party systems, or force majeure events is not covered.

Disclaimers and Limitations

No Warranty

The Site and informational content are provided "AS IS" without warranty of any kind. We do not guarantee:

• Uninterrupted or error-free Site operation
• Accuracy of all informational content
• That the Site will meet your specific needs
• That defects will be corrected

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for indirect, incidental, or consequential damages
• Our total liability for any claim shall not exceed the fees paid for services in the 12 months prior to the claim
• We are not liable for third-party services, systems, or APIs
• We are not responsible for data loss caused by client error, third-party systems, or circumstances beyond our control

Indemnification

You agree to indemnify and hold harmless Colby's Data Movers, LLC from claims arising from:

• Your provision of inaccurate information

Confidentiality

We treat all client data and business information as confidential. We will not disclose your information except:

• With your explicit consent
• To subcontractors under confidentiality agreements (only as necessary)

You agree to keep any proprietary methodologies, tools, or non-public information confidential.

Third-Party Services

We may integrate with or recommend third-party services (Salesforce, cloud providers, etc.). We are not responsible for:

• Third-party terms of service or privacy policies
• Costs associated with third-party services
• Data handling by third-party providers

Independent Contractor

Colby's Data Movers, LLC operates as an independent contractor. Nothing in these Terms creates an employment, partnership, or agency relationship.

Payment Terms

For professional services:

• Payment terms are specified in individual engagement agreements
• Invoices are typically due within 30 days
• Late payments may incur interest charges (1.5% per month or maximum allowed by law)
• We reserve the right to suspend services for non-payment

Termination

We may suspend or terminate your access to the Site if you violate these Terms. Upon termination:

• Your right to use the Site immediately ceases
• Provisions regarding confidentiality, liability, and intellectual property survive
• Outstanding fees remain due and payable

Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved as follows:

• Governing Law: Laws of the State of Wisconsin, USA
• Venue: State and federal courts in Wisconsin
• Mediation: Good faith attempt at mediation before litigation
• Arbitration: Binding arbitration for claims under $50,000 (optional for either party)

Force Majeure

We are not liable for delays or failure to perform due to circumstances beyond our control, including: natural disasters, pandemics, war, terrorism, labor disputes, internet outages, or government actions.

Modifications

We reserve the right to modify these Terms at any time. Changes take effect upon posting to the Site. Your continued use constitutes acceptance of modified Terms. Material changes will be communicated via email to active clients.

Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect.

Entire Agreement

These Terms, together with any signed engagement agreements, constitute the entire agreement between you and Colby's Data Movers, LLC regarding use of the Site.
